Timoneer is a Los Angeles and Charlotte based private investment firm focused on the lower-middle market. We strategically partner with profitable companies and seasoned operators to build and support exceptional businesses and brands.

In addition to our own capital, we utilize strong relationships with family offices, institutional investors, and private high net worth individuals to execute our transactions. This approach allows us the flexibility to pursue both control and meaningful minority investments.

Timoneer is co-led by Ben Frazier and Matt Joen, whose professional careers intersected in New York City over a decade ago. With a combined 20+ years of private equity, investment banking, and operating experience, Timoneer's team delivers a differentiated, and owner & entrepreneur friendly, alternative to traditional private equity.

Our name, Timoneer (timonier, Fr.), was born out of our entrepreneurial, operationally focused, and hands-on approach to investing. We leverage our relationships with accomplished Executives, Operating Partners, Board Advisors, and strategic LPs to provide the top-tier resources and support you would expect to receive from a larger organization -- all while delivering the hands-on attention of a more tactical and nimble partner.

  • Entrepreneur or owner-operated
  • Differentiated service offering and sustainable value proposition 
  • Defensible market or brand position
  • Favorable sector attributes in niche and fragmented industries
  • Value creation potential via organic growth initiatives and strategic M&A
  • Operating / optimization opportunities
  • HQ in the United States

FINANCIAL CRITERIA

  • Established businesses with a history of profitability
  • Strong recurring, predictable or contracted revenue streams
  • 10%+ organic growth rate
  • $1 - $15 million of EBITDA (no criteria for add-on’s) 
  • Attractive margin profile and cash flow conversion dynamics

INVESTMENT TYPES & SIZE

  • Recapitalization (majority and significant minority), Buyout and Growth Equity selectively 
  • Ability to invest up to $25 million of equity into an individual platform, and can leverage our LP network to size up, if appropriate
  • Transaction values up to $150M
